Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Midas Web Masters LLC ("Company," "we," "our," or "us") governing your use of our website and services, including web design, development, and managed hosting.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Services

Midas Web Masters provides custom web design, development, and managed hosting services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate proposal or service agreement provided to you before work begins.

Web Design & Development

Custom website creation including design, development, content integration, and initial deployment. Projects are subject to the terms outlined in your specific project agreement.

Managed Hosting

Ongoing hosting services including server maintenance, security updates, backups, and technical support as outlined in your hosting agreement.

Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate and complete information necessary for project completion
  • Deliver required content, images, and materials in a timely manner
  • Review and provide feedback on deliverables within agreed timeframes
  • Ensure you have the rights to use any content you provide
  • Make payments according to the agreed payment schedule
  • Maintain confidentiality of any login credentials we provide

Payment Terms

Payment terms will be specified in your project proposal or service agreement. General payment policies include:

  • A deposit is required before work begins on new projects
  • Invoices are due within 14 days of issue unless otherwise specified
  • Late payments may incur interest charges and/or service suspension
  • All fees are non-refundable unless otherwise stated in writing
  • Hosting services are billed on a recurring basis as specified in your agreement

Intellectual Property

Your Content

You retain ownership of all content, images, logos, and materials you provide to us. You grant us a license to use these materials solely for the purpose of providing our services.

Our Work

Upon full payment, you will own the custom design and code created specifically for your project. We retain the right to use generic code, frameworks, and tools that are not unique to your project.

Portfolio Rights

We reserve the right to display completed projects in our portfolio and marketing materials unless you request otherwise in writing.

90-Day Warranty

We stand behind our work with a 90-day warranty on all web design projects. This warranty covers:

  • Bug fixes for issues with functionality we developed
  • Corrections to work that does not match approved designs
  • Resolution of compatibility issues discovered after launch

The warranty does not cover changes to requirements, new feature requests, issues caused by third-party modifications, or problems resulting from client-provided content or hosting environments.

Hosting Service Cancellation

If you have subscribed to our managed hosting services, you may cancel your hosting plan at any time through your account dashboard at dashboard.midaswebmasters.com.

How to Cancel

Log in to your dashboard using the credentials provided when your hosting account was created. Navigate to the hosting management section and follow the cancellation process. You may also contact us directly if you need assistance with cancellation.

Cancellation Terms

  • Hosting cancellations are effective at the end of your current billing period
  • You will retain access to your hosting services until the end of the paid period
  • No refunds will be issued for partial billing periods
  • You are responsible for backing up and downloading your website files before cancellation
  • We will retain your data for 30 days after cancellation, after which it will be permanently deleted

Service Suspension

We reserve the right to suspend or terminate hosting services immediately if payment is not received within 7 days of the due date, or if your account is used in violation of these Terms or applicable laws.

Termination

Either party may terminate a service agreement according to the terms specified in that agreement. Upon termination:

  • You remain responsible for payment of all work completed up to the termination date
  • We will provide you with copies of completed work upon request and final payment
  • Hosting services will remain active until the end of the current billing period
  • We may retain copies of project files for our records

Indemnification

You agree to indemnify and hold harmless Midas Web Masters LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Maricopa County, Arizona.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
